TERMS AND CONDITIONS FOR TELEMEDICINE SERVICES

1. INTRODUCTION
This website (www.mediculonline.ro) and its associated platforms (collectively referred to as the “Website”), through which the services described below may be purchased and provided, are operated by SCRIBE MEDICAL S.R.L., a Romanian legal entity with its registered office at Bdul. Mircea Eliade 16 B Bl. T3 Et. 17 Ap. 17.1, Sector 1, Bucharest, Romania, Tax Identification Number (CIF) 51912052, registered with the Bucharest Trade Register under no. J2025039821006 (hereinafter referred to as “SCRIBE MEDICAL”).
SCRIBE MEDICAL provides marketing and intermediary services for telemedicine and remote medical consultation services delivered by physicians registered on the Website (the “Services” or “Consultations”) to individuals (the “Client,” “User,” or “Patient”) in accordance with these Terms and Conditions.
Please read these Terms and Conditions carefully and in their entirety before using the Website.
Acceptance of these Terms and Conditions is mandatory in order to use the Website and access its features, content, and Services.
2. SCOPE OF THE SERVICES
2.1.
Our telemedicine platform facilitates remote medical consultations between healthcare professionals registered on the Website and patients located in Romania.
2.2.
The telemedicine services provided by physicians registered on the Website may include:
- Remote medical consultations without requiring the Patient’s physical presence at a medical office, for the purpose of assessing the Patient’s health based on the symptoms and complaints communicated electronically by the Patient;
- Issuing medical treatment recommendations;
- Monitoring the progress of medical conditions or providing recommendations for disease prevention, including issuing medical prescriptions where appropriate. Such prescriptions are not reimbursed by the Romanian National Health Insurance House (CNAS);
- Conducting follow-up consultations and providing general guidance regarding health maintenance.
2.3.
Telemedicine consultations do not replace emergency medical care.
In the event of a medical emergency, call 112 immediately or visit the nearest emergency medical facility.
3. USER ELIGIBILITY AND REGISTRATION
3.1.
In order to access the medical Services provided by physicians through the Website, the User must meet all of the following conditions:
- Be at least 18 years of age, or otherwise meet the legal requirements under Romanian law for acquiring legal capacity to exercise civil rights;
- If the Patient is a minor, access to the Services is permitted only through the minor’s legal representative, in accordance with applicable law;
- Provide accurate, complete, and up-to-date personal and medical information. Providing false, incomplete, misleading, or outdated information may result in suspension of access to the Services. The medical professionals who provided the Services and SCRIBE MEDICAL shall not be liable for any consequences arising from the use of inaccurate, incomplete, or outdated information;
- Create a user account by providing a valid email address, an active telephone number, and a residential address. Depending on the circumstances, identity verification may also be required to ensure the security and integrity of the registration process, in which case the User may be asked to provide their date of birth and other identification information;
- Fully accept these Terms and Conditions as well as the Privacy Policy.
If any of these conditions are not met, the individual must immediately discontinue access to and use of the Website, as the Services cannot be provided.
4. DATA PRIVACY AND INFORMATION PROTECTION
4.1.
By using the Website, the User acknowledges that, for the purpose of providing the telemedicine Services described above, SCRIBE MEDICAL collects, processes, and stores personal data, including special categories of personal data within the meaning of Article 9 of Regulation (EU) 2016/679 (GDPR), specifically health-related data.
Such data may include, but are not limited to:
- Identification information (full name, Personal Numeric Code (CNP), address, telephone number, and email address);
- Information regarding reported symptoms;
- Previous diagnoses;
- Medical history;
- Laboratory test results;
- Ongoing or previous treatments;
- Medications taken;
- Medical images or documents uploaded by the User.
4.2.
All information provided is treated as strictly confidential. Access to such information is limited exclusively to authorized healthcare professionals and technical personnel responsible for administering the Website, under strict contractual confidentiality obligations.
The Website implements appropriate technical and organizational security measures to protect personal data, including encrypted communications, two-factor authentication, and encrypted storage of medical records, in accordance with applicable security standards.
4.3.
SCRIBE MEDICAL will process the User’s personal data for as long as necessary to fulfill the purposes described above and, where required, for any additional period necessary to comply with applicable legal obligations relating to record retention, medical documentation, and data protection, as further described in the Privacy Policy.
4.4.
If the User refuses to provide the personal data required for the provision of the Services or subsequently requests the deletion of such data, the physicians registered on the Website may be legally and technically unable to provide the requested Services. In such cases, they reserve the right to refuse the provision of the Services, and SCRIBE MEDICAL may suspend or permanently close the User’s account.
5. ACCESS TO AND USE OF THE PLATFORM
5.1.
To access the Services, the User must create an account on www.mediculonline.ro (the “User Account” or “Account”). The User is responsible for maintaining the confidentiality of their login credentials (i.e., username and password) and for all activities carried out through their Account.
5.2.
In order to benefit from the medical Services provided by physicians registered on the Website (including online consultations, medical recommendations, treatments, prescriptions, etc.), the User must provide complete, accurate, and up-to-date information. Failure to keep the Account information current, including maintaining an invalid or expired payment method, may result in restricted access to the Services available through the Website and/or the suspension or termination of the User Account.
5.3.
User registration and Account activation may be delayed or denied if all required information is not provided or if the User is found to be in a situation that creates a conflict of interest incompatible with these Terms and Conditions, the provision of the Services, the security of the Website, or the legitimate interests of SCRIBE MEDICAL S.R.L. or its affiliated entities.
5.4.
The User is solely responsible for all activities conducted through their Account and agrees to maintain the confidentiality and security of their username and password. Unless expressly authorized in writing by SCRIBE MEDICAL, each User may maintain only one active Account associated with the Website.
The User may not share access to their Account, authorize any third party to use it, or assign or otherwise transfer their Account to another person or entity.
5.5.
The User is solely responsible for obtaining and maintaining the internet connection required to access and use the Website. Users must ensure that their devices have a stable internet connection, are capable of accessing the Website, and are equipped with a functioning microphone and camera suitable for telemedicine consultations.
When accessing the Website through a mobile or fixed network, the User’s telecommunications provider may charge additional fees for data transmission. Any such charges shall be borne solely by the User.
5.6.
The User is solely responsible for acquiring, using, and maintaining a compatible device necessary to access and use the Website. SCRIBE MEDICAL makes no warranty or representation that the Website, in whole or in part, is compatible with any particular device, operating system, software, or hardware, or that it will function properly on such systems.
5.7.
The User acknowledges that the Website may experience technical malfunctions and/or delays inherent in internet and electronic communication networks, for which SCRIBE MEDICAL cannot be held liable. Nevertheless, SCRIBE MEDICAL will use reasonable efforts to identify and remedy any interruptions or deficiencies in the operation of the Website as quickly as possible.
If, due to technical issues or external circumstances (including, without limitation, connection problems, service interruptions, Website errors, or issues with the User’s device), an ongoing medical consultation is interrupted or cannot be completed properly, SCRIBE MEDICAL will use reasonable efforts to resume or reschedule the consultation as soon as possible, subject to the availability of both the healthcare professional and the User.
5.8.
SCRIBE MEDICAL reserves the right to suspend, block, terminate, or delete a User’s Account in the event of suspected fraud, non-compliance with applicable laws, violation of these Terms and Conditions, or breach of any other obligations assumed by the User.
These measures may also be taken if the User no longer meets the eligibility requirements for maintaining an Account, loses their right of access for any reason, or upon the express request of a competent authority.
6. PROVISION OF SERVICES. APPOINTMENT CANCELLATIONS
A. SERVICE AGREEMENT
6.1.
Medical Services provided through the Website are offered for a fee, in accordance with the prices displayed transparently and kept up to date on the Website.
6.2.
The Patient may freely select the desired medical Service (e.g., general consultation, specialist consultation, laboratory results interpretation, etc.), as well as the physician or healthcare specialist registered on the Website, subject to availability.
The price of each Service is clearly displayed before the order is completed and includes all applicable taxes.
6.3.
The agreement for the provision of the medical Service is deemed concluded once the appointment has been confirmed and payment has been successfully completed through the electronic payment system used by SCRIBE MEDICAL, which ensures secure payment processing under the conditions described on the Website.
Upon completion of these steps, the User will receive electronic confirmation of the appointment, the purchased Service, and the corresponding invoice.
6.4.
The legal relationship arising from the provision of any medical Service through the Website exists exclusively between the Patient and the physician or healthcare professional engaged to provide the respective Service. The Patient and the physician are solely and entirely responsible for the contractual relationship established between them.
SCRIBE MEDICAL S.R.L. and any entity involved in the development or operation of the Website shall not be held liable for such legal relationships, except where their obligations are expressly provided for in these Terms and Conditions.
The User expressly agrees that they shall not seek compensation, reimbursement, damages, or any other form of payment from SCRIBE MEDICAL for any consequences arising from their relationship or communications with the physician or healthcare professional who provided the medical Services, nor for any effects resulting directly or indirectly from the medical care provided, regardless of the manner in which such medical Services were delivered.
SCRIBE MEDICAL does not monitor, record, or otherwise intervene in the audio or video communications conducted between the physician and the Patient through the Website and assumes no responsibility in this regard. Such communications are facilitated through the Zoom platform. The User/Patient is responsible for reviewing and accepting Zoom’s Terms of Service when accessing the video conferencing platform.
B. DURATION. APPOINTMENT CANCELLATIONS
6.5.
Unless otherwise expressly stated on the Website, each medical consultation has a standard duration of 10 minutes.
The consultation time is calculated from the scheduled appointment time or, in the case of an instant consultation, from the time the consultation begins.
If the Patient joins the consultation late, the consultation will not be extended beyond its scheduled end time.
If the Patient is more than one (1) minute late for the scheduled appointment, SCRIBE MEDICAL may cancel the Service without refunding the amount previously paid by the User.
By accepting these Terms and Conditions, the User expressly acknowledges and agrees to this provision and accepts the consequences of failing to attend a scheduled appointment.
6.6. APPOINTMENT CANCELLATION BY THE PATIENT
The Patient may cancel a scheduled Consultation provided that the cancellation request is submitted at least 24 hours before the scheduled appointment time.
In such cases, the amount paid will be refunded in full.
If the cancellation request is submitted less than 24 hours before the scheduled consultation, the amount paid is non-refundable.
6.7.
If the Patient repeatedly cancels scheduled Consultations, regardless of whether the required notice period under Section 6.6 has been observed, SCRIBE MEDICAL reserves the right to temporarily suspend or permanently discontinue providing Services to that User and to terminate the User Account.
6.8. APPOINTMENT CANCELLATION BY THE PHYSICIAN
If the physician cancels a scheduled Consultation, the Patient will receive a full refund of the amount paid for the Service.
SCRIBE MEDICAL will make reasonable efforts to offer the Patient a new appointment as soon as possible, subject to the availability of the originally selected physician or another available physician or specialist listed on the Website.
6.9. APPOINTMENT CANCELLATION DUE TO TECHNICAL ISSUES
If a Consultation cannot take place due to technical reasons (including, but not limited to, equipment failures, Website malfunctions, or internal technical processes supporting the Website), SCRIBE MEDICAL will make reasonable efforts to resolve the issue and offer the Patient the opportunity to reschedule the Consultation within a reasonable period, subject to the availability of the registered healthcare professionals.
If the issue cannot be resolved or the consultation cannot be rescheduled within five (5) days, the Patient will receive a full refund of the amount paid for the Service.
6.10. OTHER CANCELLATION SCENARIOS
Once the medical consultation has been completed and any prescription issued by the physician has been transmitted to the pharmacy for the preparation of the prescribed medication, the medical Service may no longer be cancelled and the amount paid is non-refundable, as the medical Service has already been fully provided.
The Patient’s subsequent decision to follow or decline the prescribed treatment for any reason does not affect the validity of the medical consultation or the fees paid for that medical Service.
C. PAYMENT
6.11.
Payment for the Services shall be made using the bank card linked to the Patient’s Account through the Netopia payment platform, an authorized payment processor regulated by the National Bank of Romania, or through any other payment processor subsequently selected by SCRIBE MEDICAL that meets all applicable legal requirements.
Payments shall be made in Romanian Lei (RON) for Users residing in Romania.
Exceptionally, Users residing outside Romania may pay in EUR or USD, provided they upload valid identity documents issued by the competent authorities of their country of residence through the Platform. Without completing the User Account and uploading the required identification documents, payments in EUR or USD will not be accepted.
Patients may access the following types of consultations:
(i) Scheduled Consultations – selected by the Patient based on the availability of a specific physician. Payment must be completed at least 24 hours before the scheduled appointment. Failure to make payment will result in automatic cancellation.
(ii) Instant (On-Demand) Consultations – requested directly from a physician who is available at that time. Payment must be completed immediately before the consultation begins, and the consultation is conducted in real time.
6.12.
Regardless of the type of consultation selected, if the Patient voluntarily terminates the consultation after it has begun, the Patient shall not be entitled to any refund, and the amount paid shall be retained as payment for the contracted Service.
6.13.
Since payment for the Services is processed exclusively through online card payments, the Patient agrees to the terms and conditions of the payment processor facilitating the transaction. SCRIBE MEDICAL assumes no liability for any errors, omissions, or actions attributable to the payment processor.
D. COMPLETION OF THE CONSULTATION. NEXT STEPS
6.14.
A medical consultation is deemed completed once the audio-video session between the Patient and the physician or healthcare professional has ended and the medical discussion has been conducted for its intended purpose, within the communicated or mutually agreed duration.
Following the consultation, the physician may:
- Issue medical recommendations;
- Prepare a summary medical report in electronic format, available in the Patient’s Account;
- Issue electronic medical prescriptions, where appropriate and in accordance with applicable law. For the avoidance of doubt, prescriptions reimbursed by the Romanian National Health Insurance House (CNAS) are not currently available;
- Recommend additional medical investigations or an in-person consultation where necessary.
All documents and information resulting from the consultation will be made available in the Patient’s User Account, within the dedicated section, within a reasonable period and no later than 24–48 business hours after the consultation has concluded.
A telemedicine consultation does not replace a complete clinical examination where a physical examination is required. The Patient acknowledges that all medical recommendations provided through the Website are based solely on the information supplied by the Patient and the technical means available for remote consultation.
If the consultation is interrupted due to technical issues or cannot be completed as described above, the Patient shall be entitled either to have the consultation rescheduled or to receive a refund, in accordance with the provisions set out above.
7. OBLIGATIONS, LIABILITY, AND WARRANTIES
7.1. USER OBLIGATIONS
Users agree to:
- Provide accurate, truthful, complete, and up-to-date information and keep such information updated;
- Follow the medical recommendations provided during the consultation, unless they choose to seek a second medical opinion. The Patient acknowledges that the expected outcome of the recommended treatment or therapeutic plan may be significantly affected if they fail to follow such recommendations. In such cases, the physician who provided the Services shall not be held liable for any consequences arising from the Patient’s decision;
- Use the Services responsibly and refrain from abusing, disrupting, or misusing them in any way;
- Not reproduce, distribute, store, transmit, exploit, or otherwise use, in any manner or form, any content available on the Website—including, without limitation, text, images, video or audio materials, graphic elements, code, scripts, or other digital resources—without the prior written consent of SCRIBE MEDICAL.
7.2.
Users agree not to use the Services provided through the Website for any unlawful purpose or to obtain medications without legitimate medical justification.
7.3. OBLIGATIONS OF SCRIBE MEDICAL
As the owner and operator of the Website, SCRIBE MEDICAL undertakes to:
- Ensure that all Patients’ personal and medical information is protected in accordance with the GDPR and applicable national legislation;
- Ensure that the Website provides Patients with easy and efficient access to the medical Services, medical information, and recommendations offered by physicians registered on the Website;
- Maintain the availability and proper functioning of the Website within a reasonable timeframe by minimizing interruptions and ensuring continuous access to the Services;
- Keep all information available on the Website up to date, including information relating to fees, consultations, medical specialties, and any other information relevant to Patients.
7.4. LIABILITY
SCRIBE MEDICAL shall not be liable for any loss, damage, or adverse consequences resulting from inaccurate, incomplete, or erroneous information provided by the User.
The Website is provided on an “as is” and “as available” basis, without any representations, endorsements, or warranties of any kind, whether express or implied.
7.5.
Users shall be liable for any direct or indirect damages arising from any of the following actions:
a) Publishing, transmitting, distributing, or disseminating materials or information that are defamatory, unlawful, obscene, threatening, abusive, harassing, or otherwise violate applicable laws;
b) Distributing or promoting materials that incite discrimination, hatred, or violence based on race, religion, disability, nationality, or any other unlawful ground;
c) Threatening, harassing, abusing, disrupting, defaming, or otherwise violating the legal rights of other Users or third parties, including their rights to privacy and dignity;
d) Using information or materials that infringe copyrights, patents, trademarks, or any other intellectual property rights owned by third parties;
e) Uploading files containing viruses, malware, or any other harmful software or tools that may interfere with the operation of the Website or the devices, software, or systems of other users.
8. TERMINATION
Both the User and SCRIBE MEDICAL may terminate the legal relationship established by accepting these Terms and Conditions at any time, without providing any specific reason.
Termination shall become effective immediately upon notification to the other party or upon closure of the User Account, provided that there are no outstanding Service obligations or unpaid amounts due under these Terms and Conditions.
9. COPYRIGHT AND INTELLECTUAL PROPERTY
9.1.
All content available on the Website, including but not limited to service descriptions, educational materials, articles, guides, information, and any other content, is protected by copyright and other applicable intellectual property laws. Such content may not be copied, distributed, modified, published, broadcast, or otherwise used without the prior written consent of SCRIBE MEDICAL.
9.2.
Where Users create or upload content to the Website (including, but not limited to, messages, reviews, comments, or images), they warrant that they own all necessary intellectual property rights to such content and that its publication does not infringe the intellectual property rights of any third party.
SCRIBE MEDICAL reserves the right to remove any content that violates intellectual property laws or these Terms and Conditions.
9.3.
By accessing the Website, Users are granted a limited, non-exclusive, non-transferable license to use the Website’s content and Services solely for their intended purpose.
This license does not transfer any ownership or intellectual property rights in the Website, its content, or its technologies.
Users may not copy, reproduce, resell, sublicense, distribute, or create derivative works based on any content or technology protected by intellectual property rights without the prior written consent of SCRIBE MEDICAL.
10. SEVERABILITY
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable for any reason, such provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
11. MISCELLANEOUS PROVISIONS
11.1.
Any dispute arising between SCRIBE MEDICAL and a User shall first be resolved amicably through mutual agreement between the parties.
If an amicable resolution cannot be reached, the dispute shall be governed by the applicable laws of Romania, and the competent courts of Bucharest, Romania, shall have exclusive jurisdiction to resolve such dispute.
11.2.
These Terms and Conditions constitute the entire agreement between the Client and SCRIBE MEDICAL regarding the use of the Website and the Services.
Any waiver of a contractual right shall be valid only if made in writing and shall apply solely to the specific circumstance for which it was granted.
11.3.
SCRIBE MEDICAL reserves the right to update or modify these Terms and Conditions at any time. The most current version will always be available on the Website in the dedicated section.
By continuing to access or use the Website after any amendments become effective, the User acknowledges and agrees to be bound by the updated Terms and Conditions.
Users are encouraged to review these Terms and Conditions periodically to remain informed of any updates.
